HIVVE REFERRAL AND REWARD PROGRAMME TERMS & CONDITIONS

Please read these terms and conditions carefully before participating in our referral and reward programmes.

Overview and Acceptance of Use

By participating in the Hivve Referral or Reward Programme, whether you are a referring Brand or Retailer that has invited a new brand or retailer to join the Hivve community (each a “Referrer”), or a new retailer who has signed-up on Hivve, you are agreeing to the Hivve Terms of Service and Privacy Policy, as well as the following Hivve Referral and Sign-up Offer Programme Terms & Conditions (“Reward Programme Terms”). Capitalized terms not defined in these Reward Programme Terms have the meanings given in the Hivve Terms of Service.

The Referral Programme and The Sign-up Offer Programme

The Reward Programme refers collectively to the Referral Programme and the Sign-up Offer Programme

Referral Programme

Under the Referral Programme, Referrers may accrue certain rewards for their qualifying referral activity. By generating Qualified Referrals, Brands and Retailers may be eligible to receive reductions in commission fees, discounts, or credits for use within the Hivve platform. For the purposes of these Reward Programme Terms, we refer to such rewards collectively as “Referral Rewards”.

Sign-up Offer Programme

Under the Sign-up Offer Programme, Retailers may accrue certain rewards for their qualifying sign-up activity. By signing up, Retailers may be eligible to receive credits for use within the Hivve platform. For the purposes of these Reward Programme Terms, we refer to such rewards collectively as "Sign-up Rewards”.

Qualified Referrals and Eligibility

A “Successful Referral” occurs when:

• A Referrer with a valid Account shares their personalized link with a Referred Brand or Retailer outside of the Services (e.g., via a personal email account).
• Within 6 months, the Referred Brand or Retailer uses the Referrer’s active referral link to complete the sign-up process, or manually indicates their Referrer during account registration.
• Within 6 months, the Referred Brand or Retailer fully completes the sign-up and registration process for an Account for the first time. This means that the Referred Brand or Retailer is a new user who has not previously used Hivve.
• In the case of Brands, the Brand has listed at least 2 products which are accepted by Hivve and the brands shop page and products are published on Hivve.
• In the case of Retailers, the Retailer places a Qualifying Order. A qualifying order means that full payment has been made and the order value exceeds ZAR1000.

Referral Reward Eligibility:

To receive Referral Rewards through the Referral Programme, a Referrer must have an active and verified Hivve Account. Referrers cannot refer themselves, or their own or related entities in order to generate Qualified Referrals or to earn Referral Rewards.
To utilize Referral Reward credits for making purchases on Hivve, a referring Retailer with an Account must first furnish a valid id and company registration number if applicable, for verification of their Account, to [email protected].
To utilize Referral Rewards, a referring Brand must have an active brand profile which is approved and live on hivve.co.za, to [email protected].

Sign-up Offer Eligibility:

To receive Sign-up Offer Rewards through the Sign-up Offer Programme, a Retailer must have an active and verified Hivve Account. Hivve approves users as retailers who can buy on Hivve entirely at its discretion and the sign-up reward only applies if a retailer is approved to buy on the platform.
To utilize Sign-up Offer Reward credits for making purchases on Hivve, a referring Retailer with an Account must first furnish a valid id and company registration number if applicable, for verification of their Account, to [email protected].

Accrual of Referral Rewards

How it works for Brands referring Brands:

• For each successfully referred brand, you’ll be eligible to receive 10% cash back on the value of your next sale with Hivve, limited to a maximum value of ZAR1000.

How it works for Brands referring Retailers:

• For each successfully referred retailer to whom you have not previously sold your products, you’ll be eligible to receive 10% cash back on the value of their first purchase with Hivve, limited to a maximum value of ZAR2000.
• If you successfully refer a retailer to whom you've previously sold your products outside of Hivve, you'll receive a reduction in commission fees to 6.5%. Please note, we still charge 6.5% on sales to cover financial transaction and administration costs. This reduced commission rate of 6.5% will apply for all future sales to this retailer, indefinitely. Documentation confirming prior sales is required, such as invoices containing both the retailer's and your brand's details.

How it works for Retailers referring Brands:

• For each successfully referred Brand, you’ll be eligible to receive ZAR150 in credit to shop on Hivve.

How it works for Retailers referring Retailers:

• For each successfully referred retailer, you’ll be eligible to receive ZAR250 in credit to shop with on Hivve.

Sign-up Offer Rewards

Upon successful registration, new retailers will receive a ZAR500 credit, which will be applied towards their purchases on Hivve.

Maximum Credit Usage

Hivve may grant credits to retailers which they can use towards their subsequent orders on Hivve for several reasons.

All reward and referral credits granted to retailers, regardless of the reason for them being granted, can cover up to a maximum of 30% of the total order value for any purchase made by the retailer on Hivve. Any remaining credits will be rolled over to the retailer's subsequent orders.

Credit Expiry

Reward and referral credits granted to retailers are valid for a period of 45 days from the date of receipt. The date of receipt is indicated by the date on which we notify the reward recipient via email of their credit.

Additional Terms:

• Hivve reserves the right to modify or terminate the Reward Programme or adjust these Reward Programme Terms at its sole discretion without prior notice. In the event of cancellation or discontinuation of the Reward Programme, all associated benefits will cease, subject to Hivve’s discretion and applicable law.
• Hivve, at its sole discretion, retains the right to temporarily suspend or permanently terminate your participation in the Reward Programme, particularly in cases of non-compliance with the Reward Programme Terms. Actions may be taken, for instance, if there is fraudulent accrual of Successful Referrals. Termination of your Account means the cessation of participation in the Reward Programme, cessation of related promotional benefits, and forfeiture of any unclaimed Promotional Credits.
• If you successfully refer retailers to whom you've previously sold your products outside of Hivve, Hivve reserves the right to apply 15% commission on the cumulative total transaction value exceeding R150,000 within a calendar month. The total transaction value includes all sales made by the brand to retailers who have qualified for the 6.5% commission rewards during that month.
• The Reward Programme is not valid where prohibited.
• All amounts specified are exclusive of VAT, or other applicable taxes. Referrers or sign-up reward receivers are responsible for all direct and indirect tax compliance obligations arising from received Rewards.
• Hivve assumes no responsibility or liability for any issues related to lost, fraudulent, abusive, stolen, late, incomplete, illegible, interrupted, delayed, altered, defective, misdirected, tampered with, or irregular emails, rewards, referrals, or materials associated with the Reward Programme. Additionally, Hivve disclaims responsibility in the event a participant's email address, Account, or other contact information becomes non-functional, deleted, or undergoes changes without prior written notice to Hivve.
• Reward redemptions are final, non-refundable, non-transferable and subject to review and verification.
• Referrers are required to adhere to all POPI laws while participating in the Referral programme. It is essential that emails are crafted and shared in a personalized manner. Sending emails in bulk is highly discouraged. Any distribution of a personalized referral link that might be reasonably deemed unsolicited commercial email or "spam" is strictly forbidden.
• By participating in the Referral Programme, you agree that Hivve may disclose information about you related to your Brand Referral Programme activity. For instance, if you are a Referred Brand, the Referrer who referred you to Hivve may receive notice upon your completion of Account Activation and the earning of Referral Rewards. If you are a Referrer, Hivve may inform a Referred Brand that you were the Referrer who invited them to join Hivve. To learn more about Hivve’s use of personal information, please refer to Hivve’s privacy policy. As a Referrer, you represent and warrant that you have all requisite permissions and consents from the Referred Brand to provide their email address to Hivve as contemplated herein.
